{"id":495,"date":"2020-01-04T19:19:02","date_gmt":"2020-01-04T19:19:02","guid":{"rendered":"http:\/\/kansas-shl.org\/?page_id=495"},"modified":"2020-01-04T19:20:42","modified_gmt":"2020-01-04T19:20:42","slug":"bylaws","status":"publish","type":"page","link":"https:\/\/www.kansas-shl.org\/index.php\/news\/37th-annual-session-2019\/bylaws\/","title":{"rendered":"BYLAWS"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\">THE KANSAS\nSILVER-HAIRED LEGISLATURE INCORPORATED<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">Article I &#8211; Name<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">The name of the organization\nis the Kansas Silver-Haired Legislature, Inc., hereafter referred to as KSHL\nand\/or the Corporation.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">Article Il &#8211; Authority<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">The Kansas Silver-Haired Legislature was\ncreated under the authority of Senate Concurrent Resolution No. 1649, adopted\nby the Kansas Legislature in 1982. <\/p>\n\n\n\n<h1 class=\"wp-block-heading\">Article Ill &#8211; Mission and Vision Statements<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">A. Mission<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Mission of the KSHL is to\nempower older Kansans through education, information, and inspiration with\nsolutions that enrich their lives.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Mission will be achieved by<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">1 . educating Silver Haired\nLegislators about their advocacy role in local, state and Federal issues;<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>helping older Kansans to become a viable political\nforce who are informed and knowledgeable about issues facing their community,\nstate and nation and communicating with our constituents;<\/li><li>providing a forum for senior citizens to discuss and\ndebate issues of concern to them and others;<\/li><li>providing a legislative body in which there is\nopportunity for Silver Haired Legislators to introduce,\ndiscuss and pass legislative measures dealing with major concerns to Kansans;\nand<\/li><li>motivating seniors to understand that a primary\nresponsibility of citizenship is to be involved in legislative matters.<\/li><\/ul>\n\n\n\n<h1 class=\"wp-block-heading\">B. Vision<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">The\nKSHL envisions every older Kansan having the opportunity to achieve his\/her\nfullest potential and to participate in all aspects of life.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Article\nIV &#8211; Members and Elections<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Membership in the Corporation\nshall be comprised of delegates to the Silver Haired Legislature. A person may\nnot be denied membership because of his\/her race, color, national origin,\ncreed, religion or gender.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A registered\nvoter who has attained the age of 60 years may file as a candidate for the KSHL\nfrom the county or district of the candidate&#8217;s residence. Legislators shall be\nelected for a two (2)-year term and shall serve until a successor has been\nelected and qualified. In the event no candidate files in the county or\ndistrict, or the one elected cannot finish the current term, a replacement to\nfill the vacancy for that term may be appointed by the Planning and Service\nArea, hereinafter referred to as PSA, governing the county after consultation\nwith that PSA KSHL Chairperson.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Election procedures, ballots, filing\ndates, voting sites, advanced balloting and other matters related to the\nelection of members and officers shall be published in the Elections and\nCredentials Manual. These published procedures must be approved by the\nExecutive Board Committee and the Corporation in regular session and shall be a\npart of the Corporation Bylaws.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Article\nV &#8211; Officers<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">A The KSHL shall have officers\nof two categories:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">1 . General Officers<\/p>\n\n\n\n<ol class=\"wp-block-list\"><li>Speaker<\/li><li>Speaker Pro Tem<\/li><li>Floor Leader<\/li><\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">2. Executive Board Committee\nOfficers<\/p>\n\n\n\n<ol class=\"wp-block-list\"><li>President<\/li><li>First Vice-President<\/li><li>Second Vice-President<\/li><li>The\nGeneral Officers of the KSHL<ol><li>. Terms of Office<\/li><\/ol><\/li><\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">The terms of office for the General Officers shall be\ntwo (2) years. Persons elected as a General Officer shall be limited to three\n(3) consecutive two (2)-year terms.<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Election of the General Officers<ul><li>The three\nGeneral Officers will be elected by the KSHL membership during the KSHL\nCorporation meeting as provided for in subsection d below.<\/li><\/ul><ul><li>Each KSHL\nmember shall have one vote for each of the three officers.<\/li><\/ul><ul><li>Duly elected\nOfficers will assume office for the biennium on the date of election and upon\ntaking the oath\/affirmation of the office.<\/li><\/ul><ul><li>To\nmaintain continuity of leadership in the KSHL, the three elected officers\n(Speaker, Speaker Pro Tem and Floor Leader) shall not hold any other elected\noffice. In addition the terms of the General Officers shall be staggered.<ul><li>The Speaker and the Floor Leader shall be\nelected in odd numbered years, beginning in the year 2019.<\/li><\/ul><ul><li>The Speaker Pro Tem shall be elected in even-numbered\nyears. Notwithstanding the term limit of two (2) years, the person holding the\noffice of Speaker Pro Tem in the year 2019 shall have that term of office\nextended for one (1) additional year so that the election for that office will\noccur in an even-numbered year. The regular office term of two (2) years shall\nautomatically take effect following the assumption of office following the\nelection.<\/li><\/ul><\/li><\/ul><\/li><li>The\nExecutive Board Committee Officers<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">1. The\nExecutive Board Committee Officers may be of two categories\u2014 elected and\nappointed.<\/p>\n\n\n\n<ol class=\"wp-block-list\"><li>The elected Executive Board Committee Officers\nare elected by the voting members of the Executive Board Committee in the\nmanner prescribed by the Executive Board Committee. The election process should\nbe defined in the Policies and Procedures Manual. The elected officers are<\/li><\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">i. President ii. First Vice-President iii.\nSecond Vice-President<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>The appointed officers are appointed by the Executive\nBoard Committee President and are<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">i. Treasurer<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The\nPresident may reappoint the incumbent treasurer or appoint a new treasurer with\nevery effort made to keep within the KSHL membership. The treasurer should be\nbonded. ii. Secretary<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The President may reappoint\nthe incumbent secretary or appoint a new secretary with every effort made to\nkeep within the KSHL membership.<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>The duties and responsibilities of these\nofficers are published in the<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Policies and Procedures Manual, approved by the Executive\nBoard<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Committee and\nthe Corporation in a regular session and are a part of the Corporation Bylaws.<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>The terms of the Executive Board Committee\nOfficers shall be two<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">(2) years to coincide with the\nterms of KSHL members.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">i.\nOfficers shall assume office upon election and performing a written or oral\noath\/affirmation of office.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">ll. Executive Board Committee Officers may serve an\nunlimited number of terms while holding membership in the KSHL.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Article VI &#8211; Executive Board Committee<\/h2>\n\n\n\n<ol class=\"wp-block-list\"><li>Executive Board Committee<\/li><\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">The Executive Board Committee\nwill be composed of<\/p>\n\n\n\n<ol class=\"wp-block-list\"><li>The three KSHL General Officers: Speaker,\nSpeaker Pro Tem, and Floor Leader<ol><li>The chairperson of each of the eleven (11) PSA\ndelegations<\/li><\/ol><ol><li>The Executive Board Committee&#8217;s immediate past\npresident<ol><li>The\nimmediate past president shall serve in an advisory capacity only and shall\nhave no voting rights on the Executive Board Committee.<\/li><\/ol><ol><li>The\nimmediate past president shall not chair any Executive Board Committee\nadministrative committee.<\/li><\/ol><\/li><\/ol><ol><li>The secretary who has been appointed by the\nPresident<\/li><\/ol><ol><li>The\ntreasurer who has been appointed by the President<\/li><\/ol><\/li><li>Authority<ol><li>. The Executive Board Committee will have\nadministrative oversight and general supervision of the affairs of the KSHL\nbetween Corporation meetings, make recommendations to the KSHL regarding\nchanges in Bylaws, Polices and Procedures Manual, Election and Credentials\nManual and perform other duties specified in the Bylaws.<\/li><\/ol><ol><li>All actions of the Executive Board Committee\nshall be in accord with the mission and vision statements of the KSHL.<\/li><\/ol><ol><li>The\nduties and responsibilities of the officers and the administrative committees\nare delineated in the Policy and Procedures Manual.<\/li><\/ol><ol><li>The Executive Board Committee will meet a\nminimum of two (2) times annually at the call of the President or at the\nwritten request of at least five (5) members of the Executive Board Committee.<\/li><\/ol><ol><li>Committees<ol><li>There will\nbe five (5) administrative committees of the Executive Board Committee:<\/li><\/ol><\/li><\/ol><\/li><\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">i. Elections and Credentials ii.\nFinance\u00c6udget\/Fundraising iii. Public Relations iv. Legislative<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">v. Bylaws Policies and\nProcedures<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>The\nchairperson and vice chairperson of each administrative committee will be\nappointed by the Executive Board Committee Officers from its membership.<ul><li>There\nshall be a minimum of three (3) members to a maximum of eleven (11) members,\nincluding the chair, on each committee selected (from the Corporate membership)\nby the chairperson.<\/li><\/ul><ul><li>Ad\nhoc or special committees may be created when\/if needed and shall be appointed\nby the President of the Executive Board Committee.<\/li><\/ul><\/li><\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Article Vll \u2014 Delegates<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">A total of one hundred\ntwenty-five (125) delegates will be eligible to serve in the<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Kansas Silver Haired Legislature.\nOne legislator will be selected from each county in<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Kansas with the exception that five (5) additional\nrepresentatives will be elected from Wyandotte, Shawnee, Sedgwick, and Johnson\nCounties. All delegates need to make attendance at the Legislative Session a\ntop priority.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Elections will be conducted by the Area\nAgency on Aging (AAA) of each PSA and provide the official results of the\nelection to the KSHL Executive Board Committee. Details are covered in the\nCredentials and Procedures Manual.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Should a delegate have a viable reason, approved by the PSA,\nfor not attending the Legislative Session, an alternate may be selected to\nattend the KSHL session in the absence of the delegate. The name will be\nsubmitted to the KSHL Executive Board Committee.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article VIII &#8211; Documents<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">All legal documents shall be signed by the\nPresident of the Executive Board Committee or an agent designated by the\nExecutive Board Committee. Proper care and safekeeping of documents of interest\nto the KSHL are delineated in the Policies and Procedures Manuals.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article IX &#8211; Quorum<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">At a meeting of the\nCorporation (total membership of the KSHL) or the Executive Board Committee or\nany committee, a quorum for conducting business shall be a simple majority of\neligible voters (except as provided in Article X when amending these Bylaws).<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article X &#8211; Amendments<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">The Bylaws may be amended by either a two-thirds (2\/3) vote of\nthe quorum present or by the majority of KSHL membership. Thirty (30) days\nnotice must be given to the membership.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article Xl &#8211; Governance Authority<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">The KSHL Corporation shall be\ngoverned by the rules contained in the latest version of Roberts Rules of Order\nin all cases where they are applicable and in which they are not inconsistent\nwith these Bylaws or special rules of the KSHL; e.g., House rules while in\nlegislative session.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These Bylaws shall take\neffect immediately after ratification by the KSHL Corporation membership.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Article Xll &#8211; Legislative Session<\/h2>\n\n\n\n\n\n<p class=\"wp-block-paragraph\">A legislative\nsession of the Kansas Silver Haired Legislature shall be held annually at a\ntime and place designated by the Speaker. Session will include, but not be\nlimited to, Committee&#8217;s hearings on bills\/resolutions selected by a procedure\nspecified in the Policies and Procedures Manual, debate and vote for passage or\nrejection of the KSHL resolution according to the priority and calendar chosen\nby the Speaker.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Article XIII &#8211; Conflicts<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">If there is any conflict between the\nBylaws and Polices and Procedures, the Bylaws will supersede the Policies and\nProcedures Manual.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Revised October 2019<\/p>\n","protected":false},"excerpt":{"rendered":"<p>THE KANSAS SILVER-HAIRED LEGISLATURE INCORPORATED Article I &#8211; Name The name of the organization is the Kansas Silver-Haired Legislature, Inc., hereafter referred to as KSHL and\/or the Corporation.
